Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Forged Apex, LLC, a Texas limited liability company (“Forged Apex,” “we,” “us,” or “our”), governing your use of ForgedApex.com (the “Site”) and any coaching, mentoring, digital products, or related services we provide (the “Services”).

Please read these Terms carefully. By accessing the Site or purchasing or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Description of Services

Forged Apex provides business coaching, personal coaching, and youth mentoring services, along with related digital products such as Standard Operating Procedures (SOPs), courses, and resources (collectively, the “Content”). Services may be delivered by phone, video call, in person, or through our online platform.

Nothing on the Site or in our Services constitutes legal, financial, tax, medical, psychological, or therapeutic advice. Forged Apex is a business and personal development coaching service, not a licensed professional service in any of those fields. You should consult a qualified professional for advice specific to those areas.

2. Eligibility and Accounts

You must be at least 18 years old to purchase Services or agree to these Terms on your own behalf. Our Business Coaching and Personal Coaching tracks are intended for adults.

Youth Mentoring Program: Our Youth Mentoring track is designed for young men ages 14–18. For any participant under 18 years of age:

• A parent or legal guardian must review and accept these Terms and our Privacy Policy on the minor’s behalf
• The parent or legal guardian is responsible for payment, scheduling, and all communications related to the minor’s enrollment
• Forged Apex reserves the right to request proof of parental or guardian consent at any time

If you provide any account or registration information, you agree it will be accurate and kept up to date.

3. Coaching Packages and Payment

Forged Apex offers coaching under packages described on the Site (currently: Foundation, Momentum, Apex, and The Forge, along with any digital products offered separately). Pricing, session frequency, and deliverables for each package are as described on the Site at the time of purchase and are subject to change for future billing periods with notice.

• Monthly packages (Foundation, Momentum, Apex) are billed on a recurring monthly basis and will continue until canceled by you in accordance with our cancellation policy below.
• The Forge is billed as a one-time flat fee of $9,500 for the scope of services described at the time of booking. A 50% deposit is required to reserve your onsite dates, and the remaining 50% is due before onsite work begins. Travel and lodging are billed separately from the $9,500 fee.
• All fees are due in the manner and on the schedule presented at checkout. We use a third-party payment processor to handle transactions; see our Privacy Policy for details.

Initial Commitment

Each monthly package has an initial minimum commitment period: Foundation and Momentum each require an initial three (3) month commitment; Apex requires an initial six (6) month commitment. The Forge is a single, one-time engagement and is not a recurring package.

Cancellation Policy

To cancel a monthly coaching package (Foundation, Momentum, or Apex), you must submit a written cancellation request to info@forgedapex.com before the 15th of the month. A cancellation request received before the 15th will take effect at the end of that monthly billing period. A cancellation request received on or after the 15th will not stop billing for the then-current or next upcoming monthly billing period under your agreement, and you will be billed for that period.

This cancellation process applies subject to, and does not shorten or waive, your initial minimum commitment period described above. Canceling during your initial minimum commitment does not relieve you of the obligation to pay for the remainder of that minimum commitment period. The Forge is not subject to this monthly cancellation process.

The Forge — Deposit, Cancellation, and Rescheduling

The Forge is billed as a one-time flat fee of $9,500. A 50% deposit is required to reserve your onsite engagement dates, and the remaining 50% is due before onsite work begins. Travel, lodging, and other approved engagement expenses are billed separately from the $9,500 fee.

The reservation deposit is non-refundable.

Rescheduling. You may reschedule your engagement one time with at least 14 days’ written notice before the scheduled onsite dates. If you do, your existing deposit will be applied to the rescheduled engagement. The rescheduled engagement must take place within six (6) months of the originally scheduled dates unless Forged Apex agrees otherwise in writing.

Cancellation. If you cancel rather than reschedule, your deposit is forfeited. If you cancel or request to reschedule fewer than 14 days before your scheduled onsite engagement, your existing deposit is forfeited. If you later wish to schedule new dates, a new deposit will be required. If you cancel within 7 days of your scheduled onsite engagement, the full engagement fee becomes due.

Expenses already incurred. Any nonrefundable travel, lodging, transportation, or other approved engagement expenses already incurred remain your responsibility regardless of cancellation or rescheduling.

Exceptions. Forged Apex may make reasonable exceptions to this policy for genuine emergencies, at our sole discretion. Making an exception in one situation does not create an obligation to make the same exception in another.

If Forged Apex must cancel or reschedule. If Forged Apex must cancel or reschedule your engagement, you may either apply amounts already paid toward mutually agreed replacement dates, or receive a refund of any unused engagement fees paid for services not yet delivered.

Forged Apex reserves the right to suspend or terminate Services for non-payment.

4. No Guarantee of Results

Coaching and mentoring outcomes depend on many factors outside our control, including your own effort, circumstances, and decisions. Forged Apex does not guarantee any specific financial, business, personal, or behavioral outcome from use of our Services. Testimonials or examples referenced on the Site, if any, reflect individual experiences and are not a promise of similar results for you.

5. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful purpose
• Attempt to gain unauthorized access to the Site, our systems, or other users’ information
• Interfere with or disrupt the operation of the Site
• Reproduce, resell, or redistribute our Content, coaching materials, SOPs, or proprietary frameworks without our written permission
• Impersonate any person or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate your access to the Site or Services if we reasonably believe you have violated these Terms.

6. Intellectual Property

All Content on the Site — including our coaching frameworks, SOPs, courses, written materials, graphics, logos, and the Forged Apex name and branding — is owned by Forged Apex or our licensors and is protected by copyright, trademark, and other intellectual property laws.

Purchasing a coaching package or digital product gives you a limited, personal, non-transferable license to use that Content for your own business or personal purposes. It does not give you the right to copy, resell, teach, or distribute our materials or methodology to others.

7. User Submissions

If you submit information to us — through intake forms, coaching sessions, testimonials, contact forms, or otherwise — you grant Forged Apex permission to use that information to provide our Services to you. If you provide a testimonial or feedback and give us permission to share it publicly (e.g., on the Site or in marketing materials), we may do so, with your name or initials as you authorize, unless you tell us otherwise.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FORGED APEX, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO FORGED APEX IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Forged Apex, LLC and its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without cause, including for violation of these Terms. You may stop using the Site or cancel your Services at any time in accordance with Section 3. Sections of these Terms that by their nature should survive termination (including Sections 4, 6, 8, 9, and 10) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Site or Services will be resolved in the state or federal courts located in Brazoria County, Texas, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised “Effective Date.” Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement you sign with us for coaching services, constitute the entire agreement between you and Forged Apex regarding the Site and Services, and supersede any prior agreements or understandings.
